fdc Affiliate Agreement

 This Affiliate Agreement (“Agreement”) is entered into between Firearms Direct Club (“FDC”) and the undersigned Affiliate (“Affiliate”).

1. Eligibility:

    a. Affiliate must have a valid email address and phone number.

   b. Affiliate must be an active paid FDC member in good standing

               i. Upon acceptance into the affiliate program, FDC membership may be provided at no additional charge for the duration of the Affiliate’s tenure with FDC based on merit and brand performance marketing FDC.

   c. Affiliate must complete FDC’s review and approval process.

2. Commission Structure:

   a. Affiliate commission rates are as follows:

               ii. Monthly subscriptions & USCCA subscriptions: $3.00 per month

               iii. Annual subscriptions: $34.50 per year

   b. Commissions are paid for the life of each subscription generated, renewing when the subscription successfully renews

   c. Promotional codes:

               i. May be used with monthly subscriptions, but not in conjunction with USCCA offerings, as this goes against the USCCA guidelines.

               ii. Are not valid for annual subscriptions

               iii. Monthly promotion value: $3.00 off

   d. Annual and USCCA subscription commissions are only tracked and paid when customers use the affiliate’s designated link from their dashboard. Additionally there are no free trials on annual or USCCA subscriptions.

   e. Tracking cookie duration is 90 days.

3. Payment:

   a. Payments are made monthly via ACH when the affiliate has accrued more than $100.00 in commissions. Reports are run at or around the first of each month.

   b. Affiliate is responsible for providing accurate banking information.

4. Termination:

   a. FDC reserves the right to terminate this Agreement at any time.

   b. Upon termination, Affiliate retains rights to earned commissions for existing subscriptions.

   c. FDC may cancel future commissions for cause, including but not limited to:

           i. Breach of ethical conduct

           ii. Illegal activity

           iii. Actions damaging FDC’s brand integrity or appearance

5. Confidentiality:

   Affiliate agrees to keep confidential:

    a. Behind-closed-doors conversations

   b. Technology used on the FDC site

   c. Special deals not yet public

   d. Internal workings of the business model

   e. Functional aspects of the business

6. Intellectual Property:

   Affiliate may use FDC’s trademarks and logos in any way that does not negatively impact or reflect poorly on FDC.

7. Reporting:

   Affiliates can track their referrals and commissions through the affiliate portal on FDC’s website at firearmsdirectclub.com/affiliate-account/

8. Modifications:

   This Agreement may be modified by FDC at any time. Continued participation in the affiliate program after notification of changes constitutes acceptance of the modifications.

9. Governing Law:

    This Agreement shall be governed by and construed in accordance with the laws of Escambia County, Florida.

10. Dispute Resolution:

    In the event of any dispute arising out of or relating to this Agreement, the parties agree to the following resolution process:

    a. The parties will first attempt to resolve the dispute through good-faith negotiations.

    b. If negotiations fail, the parties will attempt to resolve the dispute through mediation with a mutually agreed-upon mediator.

    c. If mediation is unsuccessful, the parties may proceed to arbitration or litigation in the courts of Escambia County, Florida.

11. Severability:

    If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

12. Chaos Clause:

    a. In the event of global chaos, unrest, or other extraordinary circumstances that cause inventory to deplete to a level where the subscription model no longer provides value to the consumer, FDC reserves the right to:

           i. Suspend subscription charges to consumers

           ii. Suspend affiliate payouts for the duration of the suspension

    b. FDC will communicate with affiliates regarding:

           i. The decision to suspend subscriptions and payouts

           ii. Updates on the situation as it develops

           iii. The resumption of subscriptions and affiliate payouts

      Affiliate acknowledges that the firearms and ammunition industry can be volatile and agrees that this approach is in the best interest of the consumer and the long-term sustainability of the business.

    c. Upon resumption of normal operations, affiliate payouts will continue as before for all active subscriptions.

By checking the box in the Affiliate Signup Form, the applicant agrees to the terms and conditions of this Agreement, including the Chaos Clause. FDC enters into a mutual agreement at its sole discretion upon approving the applicant’s completed application.
